the material and information ("Content") available on the site or any
third party sites to which YLE links belongs to YLE or its licensors.
By using the site, you agree to be bound by these rules. YLE
reserves the right to revise these rules at any time, without notice, but will
bring any changes to your attention on the site. By using the site thereafter,
you agree to be bound by any such revisions. The permission granted herein by
YLE may be terminated at any time without cause or notice.

STANDARD TERMS AND CONDITIONS OF YOUR LOCAL EXPERTS WITH
CUSTOMERS
1 The Service
1.1 The Listing Service ("the
Service") is owned and operated by Gerald Wilson trading as Your Local
Experts ("YLE" or "We") and appear on the website found at
www.yourlocalexperts.co.uk ("the Site").
1.2 The Service creates Web Pages on the Site, or links
to pages on other Web Sites and lists the sites. Pages can be searched for on
the basis of location and/or keywords.
1.3 We reserve the right in our sole discretion to add,
delete or change some or all of the Services offered by YLE, including all or
any aspect of the Site at any time without notice to you.
2 The Customer
2.1 The Customer ("You") is any
individual or business that applies to YLE use the Service.
2.2The Customer is responsible for all aspects of any business
dealings established through a contact made via the Site.
3 Payment
3.1 YLE accepts payment by cash, cheque
(payable to "Your Local Experts") or PayPal. Without limitation, YLE
does not accept payment by credit or debit card. YLE reserves the right to
withdraw any payment methods at any time and to vary its prices without notice
to You.
3.2 All charges for the Services are payable in advance.
Any indulgence given by YLE to you in respect of time for payment is entirely
at its discretion and shall not operate as a waiver of any powers, rights or
remedies of YLE.
3.3 All Services are supplied on an annual basis and
shall be renewed and charged accordingly upon the anniversary of the date you
placed your order unless you give YLE at least thirty days written notice in
advance of the anniversary date that you do not wish to renew the contract. YLE
reserves the right to vary charges on such anniversary date.
4 Exclusions and Limitations of Liability
4.1 We use our reasonable skill and care in
operating the Site and in providing the Services. However, we make no
representation and exclude any warranty, express or implied, as to the
availability, quality, accuracy, timeliness, completeness, performance or
fitness of the Site or the Services. The Site is provided on an "as
is" and "as available" basis and we do not warrant that you or
any users will be able to access the Site at all times or that the Site will be
secure, uninterrupted, error free or free from infection or viruses. We will
not be responsible for your failure to provide services as a result of your
inclusion on the Site, for errors relating to the provision of your services,
or for technical problems that may hinder the efficacy of the Site.
4.2 Except in the event of death or personal injury
caused by our negligent acts or omissions, we shall not be liable in any way
for any damages arising in contract, tort or otherwise in respect of loss or
damage arising out of or in connection with this contract or operation of, or
your use of the Site and/or the Services. In no event will we be liable for any
direct, indirect or consequential damages in contract or tort, including loss
of profit, loss or damage to property or relating to claims made by third
parties. You should not take any step or act based on your ownership of the
domain name until you have received confirmation from the relevant registry
that you are the registered owner of that domain name.
4.3 Whilst YLE periodically conducts submission to
search engine, no warranty is given as to how if at all the search engines will
be operated or as to the results of any search engine registration.
5 Indemnity
You hereby agree to indemnify, defend and hold us
harmless for all liability, claims, damages and costs, including reasonable
legal fees, arising out of or in connection with a breach of your obligations,
representations and warranties in respect of information provided by you in
connection with the Services as provided in this Agreement.
6 Term and Termination
6.1 The Services are provided for an
initial period of 12 months from the date on which you make payment to YLE.
Thereafter, this agreement will renew for additional periods of 12 months on
payment of your renewal fee. If you cancel any of the Services other than at
the end of a 12 month period, YLE will not refund any payments made in respect
of the remainder of the period. You may, by at least 30 days notice to YLE in
advance, elect not to renew this agreement at an anniversary.
6.2 YLE may terminate this agreement with you
immediately and at any time without notice but, if you demonstrate that YLE has
terminated without any breach by you of your obligations, YLE will refund to
you a sum representing the part of the Services attributable to the unexpired
period to the next anniversary date of your contract. In addition, YLE may, by
at least 30 days notice to you in advance, elect not to renew this agreement at
an anniversary.
7 Governing Law and Jurisdiction
These terms shall be governed by and interpreted
in accordance with English law.
The parties irrevocably agree that the courts of England shall
(subject to the paragraph below) have exclusive jurisdiction to settle any
dispute which may arise out of, under, or in connection with these terms and
conditions.
For our exclusive benefit, we shall retain the right to bring
proceedings as to the substance of the matter in the courts of the country of
your residence or, where these terms are entered into in the course of your
trade or profession, the country of your principal place of business.

AGENTS
1 The Service

2 The Agent
2.1 The Agent ("You") is any
individual or business that applies to YLE for an Agent Number.
2.2The Agent is responible for ensuring that their Agent Number is
quoted by any Customer that they introduce.
2.3 The Agent is not an employee of YLE. The Agent is responsible for
their own timekeeping and resources (including but not limited to costs and
expenses).
3 Payment
3.1 YLE makes payment by cash, cheque or
PayPal. Without limitation, YLE reserves the right to withdraw any payment
methods at any time and to vary its prices without notice to You.
3.2 All payments to an Agent will be made within 30 days
of payment being received from a Customer that was introduced by the Agent.
Payment will not be made to the Agent if the Customer fails to pay.
